NOTICE OF FORECLOSURE SALE

N99WJ AIRCRAFT COLLATERAL - Date of Sale: January 25, 2012 - Time of Sale: 11:00 a.m. EDT

NOTICE IS HEREBY GIVEN that on January 25, 2012, at 11:00 a.m. EDT, at 201 17th Street, NW, Suite 300, Atlanta, Georgia 30363, Amegy Bank National Association, as the foreclosing secured lender (“Foreclosing Lender”), pursuant to Section 9-610 of the Uniform Commercial Code as adopted under applicable law and applicable documents, will conduct a public sale of the following: one Gulfstream G-1159A Aircraft bearing FAA Registration No. N99WJ and Manufacturer’s Serial No. 394, along with two (2) Rolls Royce Engines, Model Spey MK 511-8 engines bearing Manufacturer’s Serial Nos. 11204 and 11205, and along with all related avionics, equipment, parts, accessories, logs, records and other materials in respect of the aircraft and related equipment (collectively, the “Aircraft Collateral”).

Terms and Conditions of Foreclosure Sale

1. The Aircraft Collateral shall be sold as a whole lot, on a strictly “AS IS, WHERE IS” basis, with all faults, and without recourse to Foreclosing Lender. Foreclosing Lender makes no representation or warranty, express or implied, as to the value, condition, merchantability of fitness for use of any of the Aircraft Collateral or any other representation or warranty with respect to the Aircraft Collateral whatsoever.

2. Foreclosing Lender does not claim title to any of the Aircraft Collateral being sold and disclaims any warranty of title, possession, quiet enjoyment, value or quality of any of the Aircraft Collateral and the like in any sale.

3. The Aircraft Collateral will be sold in public to the bidder with the highest bid (as determined by Foreclosing Lender), for cash (in U.S. Dollars), and on such other commercially reasonable terms as Foreclosing Lender may determine in accordance with Foreclosing Lender’s bid procedures (the “Bid Procedures”), which follow below.

4. Please take notice that the foregoing public foreclosure sale does not include certain other collateral held by Foreclosing Lender that is not listed above.

5. The public foreclosure sale will take place on January 25, 2012 at 11:00 a.m. EDT at 201 17th Street, NW, Suite 300, Atlanta, Georgia 30363. The foreclosure sale will also be subject to certian bid procedures, which may be obtained as described below.

6. Foreclosing Lender fully reserves the right to bid at the sale and to credit bid all or any part of the total amount of its secured claims in partial or full satisfaction of the purchase price. Foreclosing Lender further reserves its right, on or prior to the Date of Sale, to modify, waive or amend any terms or conditions of any sale or impose any other terms or conditions on any sale, and, if Foreclosing Lender deems appropriate, to reject any bids and/or to adjourn, delay or terminate any sale.
