Terms and Conditions of Foreclosure Sale 1. The Aircraft Collateral shall be sold as a whole lot, on a strictly “AS IS, WHERE IS” basis, with all faults, and without recourse to Foreclosing Lender. Foreclosing Lender makes no representation or warranty, express or implied, as to the value, condition, merchantability of fitness for use of any of the Aircraft Collateral or any other representation or warranty with respect to the Aircraft Collateral whatsoever. 2. Foreclosing Lender does not claim title to any of the Aircraft Collateral being sold and disclaims any warranty of title, possession, quiet enjoyment, value or quality of any of the Aircraft Collateral and the like in any sale. 3. The Aircraft Collateral will be sold in public to the bidder with the highest bid (as determined by Foreclosing Lender), for cash (in U.S. Dollars), and on such other commercially reasonable terms as Foreclosing Lender may determine in accordance with Foreclosing Lender’s bid procedures (the “Bid Procedures”), which follow below. 4.
